ANALYSIS
Warsaw, October 7, 2026. For the Polish press, the merger concluded on Tuesday, October 6, is first seen through TVN. Rzeczpospolita and Gazeta Prawna recall that Paramount Skydance has finalized the acquisition of Warner Bros. Discovery for approximately $110 billion, including debt, and that the new company, Skydance, listed under the symbol SKYD, becomes the owner of one of the country's main private channels.
The Ministry of State Assets announced, through the voice of its communication director Przemysław Kuk, an administrative review. TVN has been on the list of protected entities since the Council of Ministers' resolution of December 18, 2024; the acquisition is equivalent to an "indirect dominance" within the meaning of the 2015 law on the control of certain investments. The minister must verify the impact on security or public order within 90 days. The outcome may be a favorable decision or, according to Wirtualne Media, a finding of inadmissibility that could lead to an order to sell the shares. Rzeczpospolita quotes Minister Wojciech Balczun and adds that, according to experts, a blockage is unlikely; it notes that the European Commission had given its conditional approval in July.
The financial aspect is covered by Wirtualne Media: an agreement at the end of February after a bidding war against Netflix, $31.02 per share, the indemnity owed to Netflix borne by Paramount. The title details the financing through a share issue, including a portion subscribed by funds from Saudi Arabia, Qatar, and Abu Dhabi, subject to restrictions on rights by the FCC. The site also mentions debt reduction as the top priority for TVN.
The Hollywood story remains in the background: Harry Potter, Top Gun, HBO Max, CNN, and CBS under one roof, David Ellison and Ynon Kreiz at the helm of the group, increased concentration of a market already dominated by a few players. Gazeta Prawna notes the judicial agreement of September 21 with California and other states (at least 30 films per year) and the commitment to CNN's independence. The streaming offers are to merge in the long term. Ellison spoke of a "historic day". The stake retained for the Polish market: "the way the new owner will approach TVN's strategy and its position in Poland".
