ANALYSIS
New York, October 27, 2026. On Monday, October 26, Anthropic made its S-1 form public to the SEC, the first step towards a Nasdaq listing under the symbol "ANT". The US press sees this as a test for the entire sector. For CNBC, "the tech industry needs this to go well. So does Wall Street": investors are already evaluating the company's capitalization, five years old, in trillions of dollars, in the category of the world's most valued companies.
The bet is financial. Anthropic is counting on investors who will look beyond over $80 billion in losses in the first half to retain a 14-fold increase in revenue, a reflection of "insatiable" demand. Jai Das, co-founder of Sapphire Ventures, warns: in the event of underperformance, "it'll be a little bit of a house of cards". CNBC also notes signs of nervousness about AI: "neoclouds" and data center companies that have been struggling have led Firmus and Solidigm to withdraw their IPO plans. OpenAI, which filed confidentially, is not expected to go public before 2027.
The connection with tech giants occupies a central place. Nearly half of the revenue comes from Claude sold through the cloud divisions of Microsoft, Amazon, and Alphabet, all of which are shareholders. Up to $77 billion in debt securities could be issued for the benefit of Amazon, Broadcom, and Google, while Microsoft and Nvidia have committed to investing $15 billion.
Governance is drawing attention. The seven co-founders, including Dario and Daniela Amodei, will be the only members of "Founder LLC", which will hold 50.1% of the voting rights. The prospectus admits that this structure can deprive shareholders of the "opportunity to sell their shares with a premium". Anthropic talks about a "without direct precedent" structure for a listed company.
Bloomberg highlights that the prospectus signals "risks to humanity", including attempts to "resist shutdown" or "hide or manipulate information". The IPO is described as a "litmus test" of demand for AI-related stocks and as a possible restart of a stalled IPO market. Bloomberg reports an increase in Asian chip values. According to the Wall Street Journal, the listing is expected to take place the week of November 16; on Kalshi, bettors give 95% odds of an official announcement by the end of 2026.
